Terms of Service
These Terms of Service (the "Terms") form a binding agreement between you and UP UGC Planner LLC, a Pennsylvania limited liability company ("we", "us", "our", or "UGC Planner"). They govern your access to and use of the UGC Planner mobile application and related websites (collectively, the "Service").
By installing, signing in to, or using the Service, you agree to these Terms and to the Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old (or 13 in the United States, the COPPA threshold) and have the legal capacity to enter into a contract in your jurisdiction. The Service is intended for creators and small businesses managing UGC and brand relationships.
2. Your account
You are responsible for keeping your sign-in email and device passcode secure and for all activity under your account. Notify us at support@ugcplanner.app immediately if you suspect unauthorised access.
3. Your content
You retain all rights to the content you create or upload (files, invoices, contract drafts, calendar items, notes, etc.). You grant us a limited, worldwide, royalty-free licence to host, store, process, transmit, and display that content solely as needed to provide the Service to you. We claim no ownership of your content. Some features you trigger (Voice Fill, AI parsing, captions) send the specific content you submit to AI sub-processors to return a result; the Privacy Policy explains the data flow. We do not use your content for advertising and it is not used to train any third-party model.
4. Data storage & backup
Your business records (deals, brands, invoices, expenses, notes) are stored on your device. You choose, during onboarding and at any time in Settings → Backup & sync, whether a backup copy is kept on our servers:
- On this device only. Nothing leaves your device. We never receive your business records. You are solely responsible for that data; if you delete the app or change devices without exporting, the data cannot be recovered by us or by you.
- Encrypted cloud backup (end-to-end). Your data is encrypted on your device before upload. We store only ciphertext and cannot read, decrypt, or recover your business records. The key lives in your device's OS-level secure storage (iCloud Keychain on iOS, Android Keystore on Android) and, where you set one, can be re-derived from a recovery passphrase you control; it is never shared with us. To restore on a new device, sign in with the same Apple ID / Google Account, or enter your recovery passphrase. If the key is gone and no device still holds the data, the encrypted backup is permanently unrecoverable. This is an inherent property of end-to-end encryption, and you accept this trade-off when you choose this mode.
Because we cannot read or restore end-to-end-encrypted data, you are responsible for (i) keeping iCloud Keychain or Android Keystore enabled, (ii) remembering your recovery passphrase if you set one, and (iii) exporting anything you cannot afford to lose.
5. The exchanger (share links)
When you generate a share link to deliver files to a brand, anyone in possession of the link can open it during its validity period (default 30 days). You can password-protect the link, disable downloads, watermark images, and revoke at any time. You are responsible for the content of the files you place in a link and for sharing the link with the intended recipients.
6. Acceptable use
You agree not to use the Service to:
- break any applicable law or regulation;
- upload, store, send, or share malware, viruses, illegal content, or content that infringes or violates a third party's rights;
- generate, distribute, or share sexually explicit content involving minors, or any other content prohibited by applicable law;
- reverse-engineer, decompile, disassemble, scrape, or attempt to bypass our security or access controls (except to the limited extent mandatory law permits);
- resell, sublicence, rent, or commercially redistribute access to the Service;
- generate spam or harass other users or recipients via shared links;
- submit other people's private data to the AI features without a lawful basis to do so;
- impersonate another person or entity, or misrepresent your affiliation with one.
We may suspend or terminate access to the Service if we reasonably determine you have violated this Section.
7. Subscriptions, billing, refunds & free trials
7.1 Subscription plans
UGC Planner is offered as a paid subscription in the following plans:
- Base · Monthly — recurring 1-month subscription, first 14 days free
- Base · Annual — recurring 1-year subscription, first 14 days free
- Pro · Monthly — recurring 1-month subscription, first 14 days free
- Pro · Annual — recurring 1-year subscription, first 14 days free
Current prices are shown in the app at the moment of purchase, in your local currency where supported by the App Store / Google Play. Plan details (which features are unlocked at each tier) are also shown in-app on the paywall.
7.2 Billing and auto-renewal
Subscriptions are sold and processed by the Apple App Store on iOS and by Google Play on Android. We never receive your payment-card details. Payment is charged to your App Store or Google Play account at confirmation of purchase. Your subscription renews automatically at the end of each period at the then-current price, unless you cancel at least 24 hours before the end of the current period. The renewal charge appears on your App Store / Google Play account.
You can manage or cancel your subscription at any time in your platform's account settings:
- iOS: Settings → [your name] → Subscriptions → UGC Planner, or via the App Store app.
- Android: Google Play app → Profile → Payments & subscriptions → Subscriptions → UGC Planner.
Cancellation takes effect at the end of the current paid period. You keep access until then.
7.3 Free trial
New subscribers receive a 14-day free trial on first activation of any plan. If you do not cancel before the trial ends, your subscription automatically converts to paid at the listed price for the plan you selected. You can cancel at any time during the trial and keep access until the trial period ends.
7.4 Refunds
Because subscriptions are billed by the App Store / Google Play, all refund requests are handled by those platforms under their respective policies. We are not able to issue refunds directly. To request a refund:
- iOS: reportaproblem.apple.com.
- Android: Google Play refund help.
7.5 EU / EEA / UK right of withdrawal
If you are a consumer resident in the European Union, EEA, or United Kingdom, you have a statutory right to withdraw from a digital-content contract within 14 days of purchase without giving any reason. By starting your subscription and accessing digital content, you expressly request immediate performance of the contract and acknowledge that, once performance begins, your right of withdrawal is lost to the extent the Service has already been provided to you (EU Consumer Rights Directive 2011/83/EU Art. 16(m)). If you have not yet begun using the Service, you may exercise the withdrawal right by emailing support@ugcplanner.app within 14 days of purchase, and we will direct you to the App Store / Google Play refund channel.
8. Templates, tax estimates & other in-app calculations
Contract and invoice templates inside the Service are general examples and do not constitute legal advice. They may not be suitable for your jurisdiction or specific deal. Have a qualified lawyer review any contract before signing or sending.
Tax-savings, take-home, and similar financial figures shown in the Service are best-effort estimates based on the data you enter and general rules; they are not tax, accounting, or financial advice and should not be relied on for tax filings. Consult a qualified accountant or tax adviser for advice specific to your situation.
9. Integrations
The Service integrates with third-party platforms at your option: Apple Sign In, Google Sign In, Apple App Store, Google Play, and Instagram via Meta's Instagram Graph API; and uses third-party AI processors (OpenAI, Anthropic) for the AI features you trigger. Each platform has its own terms; your use of those integrations is also governed by their policies.
10. Intellectual property
The Service, its source code, design, brand assets, and all related intellectual property are owned by UP UGC Planner LLC or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. No other rights are granted, expressly or by implication.
11. Termination
You may delete your account at any time in Settings → Sign out / Delete account. Deletion is immediate and removes the data described in our data-deletion notice.
We may suspend or terminate accounts that violate these Terms after reasonable notice (or immediately for safety, legal, or platform-policy reasons). On termination, your right to use the Service ends; provisions that by their nature should survive (intellectual property, liability, governing law, dispute resolution) continue to apply.
12. Disclaimer of warranties
13. Limitation of liability
EU / EEA / UK consumer carve-out. Nothing in these Terms excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, (iii) gross negligence or wilful misconduct, or (iv) any other liability that cannot be excluded or limited under applicable consumer-protection law in your country of residence. Where you are a consumer in the EU, EEA, or UK, your mandatory statutory rights are unaffected by these Terms.
14. Indemnity
You agree to indemnify and hold harmless UP UGC Planner LLC and its affiliates from and against any claim, liability, damage, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, your violation of any law, or your infringement of any third-party right.
15. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be announced in-app at least 14 days before they take effect. Continuing to use the Service after a change takes effect constitutes acceptance of the updated Terms.
16. Governing law & dispute resolution
16.1 Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws principles. For consumers in the EU, EEA, or UK, this choice of law does not deprive you of the protection of mandatory rules of law in your country of residence.
16.2 Informal resolution first
Before filing a formal dispute, you agree to first email us at support@ugcplanner.app and attempt a good-faith resolution for at least 30 days.
16.3 Arbitration and class-action waiver (US residents)
If you are a US resident, you and UP UGC Planner LLC agree that any dispute that cannot be resolved informally will be resolved by binding individual arbitration under the Federal Arbitration Act and the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitration will be conducted in English in Philadelphia, Pennsylvania, or remotely. Either party may seek injunctive relief in court for intellectual-property infringement. You and we each waive the right to a jury trial and to participate as a plaintiff or class member in any class, collective, or representative proceeding. You may opt out of this arbitration provision within 30 days of first agreeing to these Terms by emailing "Arbitration opt-out" to support@ugcplanner.app with your name and account email.
16.4 Court for non-arbitration disputes
For users outside the US, for disputes not subject to arbitration, or if you validly opt out of arbitration, the competent courts of the Commonwealth of Pennsylvania, USA, will have exclusive jurisdiction, subject to any mandatory consumer-protection law in your country of residence that gives you the right to sue or be sued in your local courts.
17. Apple App Store users
If you obtained the Service through the Apple App Store, you acknowledge that these Terms are between you and UP UGC Planner LLC only, not with Apple Inc. Apple is not responsible for the Service or its content. Apple has no warranty obligation with respect to the Service. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you (if any), and to the maximum extent permitted by law Apple will have no further warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the remainder will remain in full force and the unenforceable provision will be reformed to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a corporate transaction.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
